On May 12, 2020, Allegiant Travel Company (the “Company”) issued the press release attached as Exhibit 99.1 to this Form 8-K concerning our results of operations for the quarter ended March 31, 2020.

This information is being furnished under Item 2.02 of Form 8-K. This report and Exhibit 99.1 are deemed to be furnished and are not considered “filed” with the Securities and Exchange Commission. On May 6, 2020, the Board of Directors of the Company approved an amendment to the Company’s By-laws to provide stockholders owning twenty-five percent (25%) of the shares of the Company the right to call special meetings of stockholders.
