(1)	This Restricted Stock Award is granted under the Issuer's 2016 Long Term Incentive Plan and vests ratably over one year (the duration of the director's remaining term).
(2)	This Restricted Stock Award is granted under the Issuer's 2016 Long Term Incentive Plan and vests ratably over five years.
(3)	Due to a clerical error, the reporting person is filing this amendment to the Form 4 originally filed on May 13, 2020 (this "Amendment") to correct the exercise price of the Stock Option (Right to Buy) from $47.53 to $47.54 (an increase of $0.01).
(4)	This Stock Option Award is granted under the Issuer's 2016 Long Term Incentive Plan and vests ratably over five years.
