Item 8.01 Other Events

On June 23, 2020, TransEnterix, Inc., a Delaware corporation, issued a press release that Sana Klinikum Offenbach has entered into an agreement to lease and utilize a Senhance® Surgical System, which will be the fourth hospital in Germany to provide Senhance to its patients.

A copy of the press release is filed herewith as Exhibit 99.1 and incorporated herein by reference.
