This Registration Statement on Form S-8 relates to the 2012 Equity Incentive Plan, as amended (the “2012 Plan”) of PEDEVCO CORP. (the “Registrant” or the “Company”). An aggregate of 8,000,000 shares of the Registrant’s common stock, par value $0.001 per share (the “Common Stock”) have been or may be issued under the 2012 Plan. Of the 8,000,000 shares, 200,000 shares were previously registered (the “First Previously Registered Shares”) under the Securities Act of 1933, as amended (the “Securities Act”) pursuant to the Registrant’s Registration Statement on Form S-8 (File No. 333-192002); an additional 500,000 shares (including certain shares of restricted Common Stock and shares issuable upon exercise of options, each issued to employees of the Registrant) were previously registered (the “Second Previously Registered Shares”), pursuant to the Registrant’s Registration Statement on Form S-8 (File No. 333-201098); an additional 300,000 shares were previously registered (the “Third Previously Registered Shares”), pursuant to the Registrant’s Registration Statement on Form S-8 (File No. 333-207529); an additional 500,000 shares were previously registered (the “Fourth Previously Registered Shares”), pursuant to the Registrant’s Registration Statement on Form S-8 (File No. 333-215349); an additional 1,500,000 shares were previously registered (the “Fifth Previously Registered Shares”), pursuant to the Registrant’s Registration Statement on Form S-8 (File No. 333- 222335); and an additional 3,000,000 shares were previously registered (the “Sixth Previously Registered Shares”, and together with the First Previously Registered Shares, Second Previously Registered Shares, Third Previously Registered Shares, Fourth Previously Registered Shares and Fifth Previously Registered Shares, the “Previously Registered Shares”), pursuant to the Registrant’s Registration Statement on Form S-8 (File No. 333-227566). The Registrant previously paid the registration fee for the Previously Registered Shares. Registered in this Registration Statement are an additional 2,000,000 shares of Common Stock reserved for future issuance under the 2012 Plan, the offer and sale of which are being registered herein.

EXPLANATORY NOTE
 
PEDEVCO Corp. (the “Registrant”) previously filed a Registration Statement on Form S-8 on October 31, 2013 (File No. 333-192002)(the “First Prior Registration Statement”), relating to the Registrant’s 2012 Equity Incentive Plan (the “2012 Plan”), the Pacific Energy Development Corp. 2012 Equity Incentive Plan (the “2012 PEDCO Plan”) and certain options granted pursuant to written stock option agreements (the “Option Agreements”). Under the First Prior Registration Statement, the Registrant registered an aggregate of 211,839 shares of common stock, par value $0.001 per share (“Common Stock”) to be offered and sold under the 2012 Plan, the 2012 PEDCO Plan or the Option Agreements, as applicable.
 
Additionally, the Registrant previously filed Registration Statements on Form S-8 on December 19, 2014 (File No. 333-201098)(the “Second Prior Registration Statement”), October 20, 2015 (File No. 333-207529)(the “Third Prior Registration Statement”), December 28, 2016 (File No. 333-215349)(the “Fourth Prior Registration Statement”), December 28, 2017 (File No. 333-222335) (the “Fifth Prior Registration Statement”), and September 27, 2018 (File No. 333-227566)(the “Sixth Prior Registration Statement”, and together with the First Prior Registration Statement, Second Prior Registration Statement, Third Prior Registration Statement, Fourth Prior Registration Statement and Fifth Prior Registration Statement, collectively, the “Prior Registration Statements”), relating to the registration of (a) an additional 5,625,500 shares of Common Stock reserved for future issuance under the 2012 Plan (325,500 shares under the Second Prior Registration Statement, 300,000 shares under the Third Prior Registration Statement, 500,000 shares under the Fourth Prior Registration Statement, 1,500,000 shares under the Fifth Prior Registration Statement and 3,000,000 shares under the Sixth Prior Registration Statement); (b) 167,000 restricted shares of Common Stock previously issued under the 2012 Plan (all under the Second Prior Registration Statement); (c) and 17,500 shares of Common Stock issuable upon the exercise of outstanding options granted under the 2012 Plan (all under the Second Prior Registration Statement).
 
This Registration Statement relates to securities of the same class as to which the Prior Registration Statements relate. As such, and as permitted by Instruction E of Form S-8, the contents of the First Prior Registrant Statement filed by the Registrant on Form S-8 on October 31, 2013, are incorporated herein by reference and made a part of this Registration Statement, except for Items 3, 7, 8 and 9 of Part II which are being updated by this Registration Statement. In addition, all exhibits required by General Instruction E of Form S-8 are filed as exhibits hereto.
 
The Board of Directors of the Registrant approved an amendment (the “Amendment”) to the 2012 Equity Incentive Plan of the Registrant on July 1, 2019 to increase the number of shares available for the grant of awards under the 2012 Equity Incentive Plan by 2,000,000 shares. The Amendment was subject to stockholder approval. On August 28, 2019, the Amendment was approved by stockholders at the Registrant’s annual meeting of stockholders. The Registrant has filed this Registration Statement to register under the Securities Act of 1933, as amended, an additional 2,000,000 shares of Common Stock reserved for future issuance under the 2012 Plan, the offer and sale of which are being registered herein.
