(b) Departure of Certain Officers

On November 18, 2021, BM Technologies, Inc. announced the resignation Li Shen, its Chief Accounting Officer, effective November 12, 2021. Ms. Shen has stated in her resignation letter that her resignation as Chief Accounting Officer does not in any way imply or infer that there is any dispute or disagreement relating to the Company’s operations, policies or practices. A copy of Ms. Shen’s resignation letter is attached hereto as Exhibit 99.1.
