(1)	Dee Ann Nazarenus was appointed an officer of Issuer effective September 1, 2020, as previously announced in a Form 8-K filed August 20, 2020. The amount reported in Section 2 represents 24,047 unvested Restricted Stock Units ("RSUs") and 22,425 common shares issued to Ms. Nazarenus by the Issuer for the after-tax portion of her 47,028 RSUs that have vested as of the date of this Form 3.
