Explanation of Responses:
(1)  75,000 shares of common stock previously rewarded to Mr. Mooney were returned to the Company and immediately cancelled, pursuant to an agreement entered into between the Company and Mr. Mooney on December 18, 2018.
(2)  The options become exercisable on the Transaction Date and vest over a one-year period.
(3)  The options become exercisable on the Transaction Date and vest over a three-year period.
(4)  The options were issued as incentive compensation for services under the Company's Omnibus Equity Incentive Plan.
