The reporting person was granted 2,665,595 shares (the "Shares") of common stock, par value $0.0001 per share, of the issuer, which were issued in accordance with Nasdaq Listing Rule 5635(c)(4) outside of the issuer's 2017 Stock Incentive Plan and 2013 Long-Term Stock Incentive Plan. The Shares are subject to vesting over a period of 48 months commencing on June 14, 2021, with 1/4 of the Shares to vest on June 14, 2022, and thereafter, 1/36 of the Shares to vest on the first day of each subsequent month until all such Shares have vested.
