PART III—NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Centrais Elétricas Brasileiras S.A. – ELETROBRAS (the “Company”) has been working diligently to complete all the required information for its annual report on Form 20-F for the year ended December 31, 2020 (the “2020 Form 20-F”), however, the Company concluded that it needs to revise its financial statements for 2019 and 2018 to accurately reflect the actuarial calculations relating to its retirement plan. The effect of the adjustment is to reduce comprehensive income in 2019 and 2018. The Company needs additional time to prepare its financial statements to reflect these adjustments.  The Company does not believe that the adjustments are material to the financial statements for 2019 and 2018. 

 

The Company anticipates filing its 2020 Form 20-F on or before May 15, 2021.
