Explanation of Responses:
(1)	Shares underlying a performance-based restricted stock unit award granted on February 15, 2017 that were earned on the basis of the issuer's achievement (during a performance period beginning on January 1, 2017 and ending on December 31, 2019) of certain performance vesting criteria (as stated in the agreement governing the award) and that vested and settled in shares of common stock on December 31, 2020 upon the completion of an additional year of service following the completion of the performance period.
