Item 2.02 Results of Operations and Financial Condition.

On October 28, 2020, Sealed Air Corporation (the “Company”) issued a press release announcing its financial results for the quarter ended September 30, 2020. A copy of the press release is furnished herewith as Exhibit 99.1, which is incorporated herein by reference. On October 28, 2020, at 10:00 a.m. (ET), the Company will host an earnings call in which its financial results for the quarter ended September 30, 2020 will be discussed.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 28, 2020, the Company announced that Karl Deily, Senior Vice President and Chief Commercial Officer, plans to retire from the Company on April 2, 2021. Mr. Deily will step down from his position as Senior Vice President and Chief Commercial Officer effective as of December 31, 2020, and will continue to serve in an advisory role through his retirement date.
