Item 1.01

Entry into a Material Definitive Agreement.

 

On March 6, 2019, IIOT-OXYS, Inc., a Nevada corporation (the “Company”), issued Senior Secured Convertible Promissory Notes each in the principal amounts of $50,000 to Catalytic Capital LLC and YVSGRAMORAH LLC (each, a “Note” and, together, the “Notes”). On September 21, 2020, the Company entered into amendments to the Notes pursuant to which the conversion price was changed to $0.01 for up to $10,000 worth of the principal of each Note.
