Item 1.01.

Entry into a Material Definitive Agreement.

Underwriting Agreement

On August 12, 2020, Seres Therapeutics, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Cowen and Company, LLC and Piper Sandler & Co., as representatives of the several underwriters named therein (collectively, the “Underwriters”), in connection with the issuance and sale by the Company in a public offering of 10,500,000 shares of the Company’s common stock at a public offering price of $21.50 per share, less underwriting discounts and commissions, pursuant to an effective shelf registration statement on Form S-3 (Registration No. 333-244401) and a related prospectus supplement filed with the Securities and Exchange Commission (the “SEC” and such public offering, the “offering”). Under the terms of the Underwriting Agreement, the Company has also granted the Underwriters an option exercisable for 30 days to purchase up to an additional 1,575,000 shares of its common stock at the public offering price, less underwriting discounts and commissions, which the underwriters have exercised in full. The closing of the offering is expected to occur on or about August 17, 2020, subject to the satisfaction of customary closing conditions.

The Underwriting Agreement contains customary representations, warranties and agreements by the Company, customary conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions.

The foregoing description of the Underwriting Agreement is not complete and is qualified in its entirety by reference to the full text of the Underwriting Agreement, a copy of which is filed as Exhibit 1.1 to this Current Report on Form 8-K (the “Current Report”) and is incorporated by reference herein.

Latham & Watkins LLP, counsel to the Company, has issued an opinion to the Company, dated August 13, 2020, regarding the validity of the shares of common stock to be issued and sold in the offering. A copy of the opinion is filed as Exhibit 5.1 to this Current Report.

Securities Purchase Agreement

On August 12, 2020, the Company entered into a Securities Purchase Agreement (the “Securities Purchase Agreement”) with Société des Produits Nestlé S.A. (“Nestlé”) for the sale by the Company of 959,002 shares of the Company’s common stock at a purchase price of $20.855 per share (the “concurrent placement”). The consummation of the concurrent placement is contingent upon the closing of the offering and the satisfaction of certain other customary conditions. The shares are being offered and sold to Nestlé pursuant to an effective registration statement on Form S-3 (File No. 333-237033) and a related prospectus supplement. The concurrent placement may have two closings, the first of which may occur on or within two business days of the closing of the offering for a number of shares equal to the maximum number (not to exceed $16.0 million of shares) of shares that Nestlé may purchase without clearance under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR clearance”). Contingent on the requirement for HSR clearance, all $20.0 million of shares may be sold in one of these closings.

Latham & Watkins LLP, counsel to the Company, has issued an opinion to the Company, dated August 13, 2020, regarding the validity of the shares of common stock to be issued and sold in the concurrent placement. A copy of the opinion is filed as Exhibit 5.2 to this Current Report.

Use of Proceeds

The Company expects to receive net proceeds from the offering and the concurrent placement of approximately $232.2 million, or approximately $264.0 million if the Underwriters exercise their option to purchase additional shares in full, after deducting underwriting discounts and commissions and estimated offering expenses payable by the Company. The Company intends to use the net proceeds of the offering and the concurrent placement to advance the clinical development of its product candidates, for commercialization and manufacturing activities and for other general corporate and working capital purposes. The Company believes that its cash, cash equivalents and investments, together with the net proceeds from the offering and the concurrent placement, will fund its operations into the first half of 2022.
