(1)	The conversion rights of the Series A Convertible Preferred Stock do not expire and can be exercised at any time.
(2)	The Reporting Person subscribed and paid for 30,000 Series A Convertible Preferred Shares directly from the Issuer. Subsequently, he verbally agreed to sell 10,000 of these shares, but the buyer failed to pay for the shares and the agreement was terminated.
