Explanation of Responses:
(1)	This transaction was an exercise of vested options that would have expired within the next twelve months. The reporting person paid cash to Everi Holdings Inc. in respect of the exercise price of the options in a total amount equal to the number of options exercised multiplied by the exercise price per share thereof. As indicated in Table I, as of the date of this report, the reporting person is continuing to hold the shares of common stock acquired upon exercise.
(2)	The options, originally representing a right to purchase a total of 100,000 shares, became exercisable periodically over a period of four years beginning on the grant date of August 30, 2010.
