5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
In
light of public health concerns associated with the COVID-19 pandemic and recent governmental actions, the Board of Directors
of Elite Pharmaceuticals, Inc. (the “Company”) amended the Company’s Bylaws primarily to permit the Company
to hold a meeting of the shareholders by means of remote communication in lieu of, or in addition to, a physically located meeting.
This
description of the amendments to the Bylaws is qualified in its entirety by reference to the text of the Amended and Restated
Bylaws filed as Exhibit 3.1(ii) to this Report.
