(3)	A portion of the Restricted Stock Units are held under the Company's Deferred Compensation Plan.
(4)	Stock Units held under the Republic Services Stock Incentive Fund ("Investment Fund") pursuant to Mr. Stuart's election under the Company's Deferred Compensation Plan.
