(1)	These shares were earned for services rendered over a period of time, with the most recent shares earned as of December 31, 2018.
(2)	All of the 4,530,103 shares disclosed in this Form 4 were acquired by 1873942 Ontario, Inc., of which Mr. Micacchi is the sole shareholder and director. 1873942 Ontario, Inc. owns an additional 2,347,721 shares of Common stock of the Company and 1,455,000 shares are held by Mr. Micacchi's immediate family members pursuant to gifts from Mr. Micacchi.
(3)	Mr. Micacchi has been granted 500,000 options every year from 2017 through 2020, each of which is exercisable for two years after the date of grant. The options granted on 12/31/2018 expire on 1/1/2021, and the options granted on 12/31/2019 expires on 1/1/2022. Ownership is reflected as of the filing date of this Form 4/A.
