Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 4, 2020, the Board of Directors of Monitronics International, Inc. approved an increase in the annual base salary of its Interim Chief Executive Officer, William Niles, to $550,000 and an increase in Mr. Niles’ target annual bonus to 150% of his annual base salary.  The changes are retroactive as of his appointment to Interim Chief Executive Officer on February 27, 2020.
