Explanation of Responses:
(1)	On February 24, 2017, the Compensation Committee of the Company's Board of Directors awarded the reporting person performance stock units under the Danaher Corporation 2007 Omnibus Incentive Plan. This Form 4 is being filed in connection with the determination by the Compensation Committee that the performance criteria of the award have been achieved. The award remains subject to a holding period that continues through December 31, 2021.
(2)	The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $159.75 to $160.68, inclusive. The reporting person undertakes to provide to Danaher Corporation, any securityholder of Danaher Corporation, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in the footnotes to this Form 4.
