Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On February 18, 2020, Cleveland BioLabs, Inc. (the “Company”) received written notification from the Listing Qualifications Staff of The NASDAQ Stock Market LLC (“Nasdaq”) indicating that, based upon the Company’s continued non-compliance with the minimum $2,500,000 stockholders’ equity requirement for continued listing on The Nasdaq Capital Market, as set forth in Nasdaq Listing Rule 5550(b) (the “Rule”), the Staff had determined to delist the Company’s securities from Nasdaq at the opening of business on February 27, 2020 unless the Company timely requests a hearing before the Nasdaq Hearings Panel (the “Panel”). The Company intends to timely request a hearing before the Panel. Under Nasdaq’s rules, a timely request will stay the delisting of the Company’s securities pending the Panel’s decision. At the hearing, the Company intends to present its plan to evidence compliance with the Rule, or in the alternative with Rule 5550(b)(2), the market value of listed securities requirement, and request an extension of time within which to do so. The hearing date will be determined by Nasdaq and, to the extent practicable, would be scheduled within 45 calendar days from the date of the request. There can be no assurance that the Panel will grant the Company’s request for continued listing on The Nasdaq Capital Market, or that the Company’s plans to regain compliance with Nasdaq’s rules will be successful.
