Item 1.01. Entry into a Material Definitive Agreement.

On February 19, 2020, Halliburton Company (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with J.P. Morgan Securities LLC, Citigroup Global Markets Inc., HSBC Securities (USA) Inc. and Mizuho Securities USA LLC, as representatives of the several underwriters named therein (the “Underwriters”), relating to the issuance and sale of $1,000,000,000 aggregate principal amount of the Company’s 2.920% Senior Notes due 2030 (the “Notes”) to the Underwriters.

The Underwriting Agreement contains customary representations, warranties and agreements of the Company and other customary obligations of the parties and termination provisions.

The Notes will be issued under an indenture dated as of October 17, 2003, between the Company and The Bank of New York Mellon Trust Company, N.A., as successor to JPMorgan Chase Bank (the “Indenture”), as trustee. The form, terms and provisions of the Notes will be set forth in a supplemental indenture delivered pursuant to the Indenture. Closing of the issuance and sale of the Notes is expected to occur on March 3, 2020, subject to the satisfaction of customary closing conditions.
