Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 28, 2019, Paul Malazita informed BBQ Holdings, Inc. (the “Company”) of his intention to resign from his position as Chief Financial Officer and Secretary effective November 15, 2019, to accept an external role.  The Company and its Board of Directors (the “Board”) wishes to express sincere thanks and appreciation to Mr. Malazita for his service and hopes for his success in his next role.  Mr. Malazita will be working with the Company up to his departure date to help ensure continuity and effective transition.

On October 29, 2019, the Company commenced a search for a successor to Mr. Malazita.
