Item 7.01. Regulation FD Disclosure.

On October 2, 2019 the Company reported that it has entered into an agreement with BMO Capital Markets for a bought deal financing for 10,000,000 common shares at a price of CDN $2.00 per share for gross proceeds to the Company of approximately $20M CDN. Proceeds of the financing are expected to fund expanded exploration programs at both the Mother Lode and North Bullfrog Projects in Nevada as well as general corporate expenditures. A copy of the press release is attached to this report as Exhibit 99.1. In accordance with General Instruction B.2 of Form 8-K, the information set forth herein and in the press release is deemed to be “furnished” and shall not be deemed to be “filed” for purposes of the Securities Exchange Act of 1934, as amended.
