Item 8.01 Other Events.

Vertical Computer Systems, Inc. (the “Company”) hereby is providing notice that the Company is placing the proposed date of its annual meeting of stockholders on hold. The Company is currently engaged in a search for an independent auditor to audit its financial statements for the year ended December 31, 2018 and to review the Company’s reports on Form 10-K and Form 10-Q, in order to file these reports with the Securities and Exchange Commission (the “SEC”). Once the Company is current in filing its periodic reports, the Company anticipates setting the date of the annual meeting of stockholders approximately ninety days after the date the Company becomes current with its periodic SEC reports..
