Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On September 13, 2019, Western Midstream Operating, LP (“WES Operating”), a subsidiary of Western Midstream Partners, LP (the “Partnership”), drew down $1.0 billion under its previously disclosed Credit Agreement, dated as of December 19, 2018, among WES Operating, as Borrower, Barclays Bank PLC, as Administrative Agent, and the lenders party thereto (the “Term Credit Agreement”), as amended by the First Amendment to Credit Agreement, dated as of July 1, 2019 (the “Amendment” and, together with the Term Credit Agreement, the “Amended Term Credit Agreement”). WES Operating used the funds to repay borrowings under its $2.0 billion revolving credit facility. WES Operating has no remaining borrowing capacity under the Amended Term Credit Agreement.

The Term Credit Agreement is filed as Exhibit 10.3 to the Partnership’s Form 8-K filed with the U.S. Securities and Exchange Commission (the “SEC”) on December 20, 2018, and the Amendment is filed as Exhibit 10.1 to the Partnership’s Form 8-K filed with the SEC on July 3, 2019.
