Explanation of Responses:
(1)  Reflects shares issued upon the exercise of stock appreciation rights granted to the Reporting Person on June 10, 2010, which vested ratably on June 10 of 2011, 2012, 2013 and 2014 and which were exercised by the Reporting Person on July 1, 2019 pursuant to a 10b5-1 plan entered into by the Reporting Person on May 31, 2019.
(2)  Disposition of shares of common stock to the Issuer for payment of the exercise price in connection with the exercise of the stock appreciation rights.
(3)  Shares withheld to cover the tax withholding obligations in connection with the exercise of the stock appreciation rights.
(4)  These trades were conducted pursuant to a 10b5-1 plan entered into by the Reporting Person on May 31, 2019.
