The following is a transcript of a CNBC interview with John Harris, Vice President of Business Development of Raytheon Company and CEO of Raytheon International, Inc., which aired on June 17, 2019. JOHN HARRIS: We continue to test the systems and solutions we have for the very purpose of assuring that we understand and can stress our systems in meaningful, realistic environments to assure ourselves that our customers have the very best capability. That holds true in everything we do. In fact, this past year we added Sweden to the family of patriot missile systems to provide the world’s only combat-proven missile defense system.

PHIL LEBEAU: Let’s talk about United Technologies and the proposed merger between Raytheon and UTX. You guys have laid out why you believe this makes perfect sense in terms of very little overlap, the cultures fit, you can gain synergies and move quicker to the market with products. At the same time, Donald Trump was on our air—the President of the United States was on our air just hours—a couple of days after this proposed merger and he said, “I am not sure I am crazy about these two guys getting together and it limits the number of potential bidders on projects.” What’s your assessment?

JOHN HARRIS: So, it’s actually quite the opposite. The combination has little to no overlap, less than 1% of what we would offer as a combined company, some $74 billion a year in revenues.

PHIL LEBEAU: So, your point being you’re not bidding against UTX, typically, in any contracts that you guys are going for?

JOHN HARRIS: I will tell you Phil, I’ve been at this for the better part of 35 years I can’t remember a time we were ever competing against UTX. And so we see significant opportunities. And as you mentioned, right, we’re so excited about the potential of unlocking the combined capabilities of our two companies, whether it’s a strong legacy of innovation, a focus on program excellence, and a focus on reducing costs. And, most importantly, in this day and age, speed. Because our customers have emerging new requirements and challenges and they need partners who have the capacity to bring solutions to the table faster. By unlocking the potential of some 38,000 patents, 60,000 engineers, or an over $8 billion of research and development spend, we believe we will have the potential to meet our customers’ needs. This is all about helping our customers.

PHIL LEBEAU: One last question playing off of that. Do you look at this proposed merger as a unique situation where it fits, in your opinion, perfectly with each other, as opposed to a signal that we’re going to see more consolidation within defense?


JOHN HARRIS: What I’d tell you that the merger we’re proposing here is a purpose-built opportunity. Little to no overlap, great complimentary capabilities, an opportunity to leverage our capacity and provide solutions that are much faster rate.

PHIL LEBEAU: So, for the broader defense market, do you think we’ll see more consolidation?

JOHN HARRIS: You know I’m not sure that I see that going forward, and I don’t see this as an indication of things to come. I look at it simply from the opportunity that we’ll be able to offer our customers as a direct result of the proposed merger.
