State below in reasonable detail why forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Effective on April 4, 2019, the registrant appointed Michael T Studer CPA P.C. to replace Ernst & Young Hua Ming LLP (the “Ernst & Young”) as the registrant’s independent auditor. As a result of this change of auditor, the letter from Ernst & Young to the Securities and Exchange Commission and the consent of Ernst & Young cannot be executed within the prescribed time period without unreasonable effort or expense. Therefore, the registrant is unable to file its annual report on Form 20-F for the fiscal year ended December 31, 2018 (the “Annual Report”) within the prescribed time period without unreasonable effort or expense. The registrant expects to file the Annual Report no later than the fifteenth calendar day following the prescribed due date, as permitted by Rule 12b-25.
