(1)  The option award was made in accordance with the terms of the Issuer's 2013 Equity Compensation Plan (the "2013 Plan"). The option vests as to one third of the shares on each of April 18, 2020, April 18, 2021 and April 18, 2022. The exercise price is based on the closing price for the shares of the Common Stock on the date of grant in accordance with the terms of the 2013 Plan.
