Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 6, 2019, Mr. Jiangping (Gary) Xiao tendered his resignation as Chief Financial Officer of Professional Diversity Network, Inc. (the “ Company ”), effective March 19, 2019. Mr. Xiao’s decision to resign was due to his personal reasons and was not a result of any dispute with the Company. No compensation was provided in connection with his departure.
