Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 1, 2018, K. Rick Turner resigned from the Board of Directors of LE GP, LLC (“LE GP”), the general partner of Energy Transfer Equity, L.P. (the “Partnership”), effective immediately. Mr. Turner previously served as a member of the Partnership’s audit committee and as the Chairman of the Partnership’s compensation committee. Mr. Turner’s decision to resign from the board of LE GP was not due to any disagreement with the Partnership or LE GP relating to the operations, practices or policies of the Partnership.
On June 4, 2018, Steven R. Anderson was appointed to the Board of Directors of LE GP by the members of LE GP pursuant to the provisions of the Amended and Restated Limited Liability Company Agreement of LE GP. Mr. Anderson will serve on the Partnership’s audit committee and as the Chairman of the Partnership’s compensation committee.
Mr. Anderson will receive compensation for his services as director consistent with that provided to other non-employee directors, as previously disclosed in the Partnership’s Annual Report on Form 10-K for the year ended December 31, 2017.
There have not been any transactions since the beginning of the Partnership’s last fiscal year, nor are there any proposed transactions, in which the Partnership was or is to be a participant involving amounts exceeding $120,000 and in which Mr. Anderson had or will have a direct or indirect material interest. There are no arrangements or understandings with the Partnership, or any other persons, pursuant to which Mr. Anderson was appointed as a director of LE GP.
