Explanation of Responses:
(1)  (1) As of April 16, 2018, DPW Holdings, Inc. (the "Issuer") had 43,562,860 shares of common stock outstanding. As of that date, Kristine Ault (the "Reporting Person") beneficially owns less than 10 percent of the Issuer's common stock and is no longer subject to Section 16. Effective January 23, 2018, the Reporting Person resigned as a director of the Issuer.
(2)  (2) On April 25, 2018, the Reporting Person resigned from her position as the Manager of Philou Ventures, LLC, a Wyoming limited liability company ("Philou"), and as a result, no longer holds voting and dispositive power over the securities of the Issuer held by Philou.
