Item 8.01. Other Events.

On April 12, 2018, the Company issued a press release announcing that its Board of Directors declared a quarterly cash dividend of $.16 per share in respect of the Company's common stock. The dividend is payable on May 18, 2018 to shareholders of record as of the close of business on May 9, 2018. The press release is attached as exhibit 99.
