Explanatory Note

This Amendment No. 1 to Current Report on Form 8-K/A is being filed to amend the Current Report on Form 8-K (the “Initial 8-K”) filed with the Securities and Exchange Commission on February 21, 2018 by Whiting Petroleum Corporation (the “Company”) to file an amended and correct ed Press Release of the Company, dated February 21, 2018, that revised the number of wells the Company plans to drill in 2018 from 136 wells, as originally reported, to 120 wells. The Company hereby amends the Initial 8-K by filing a revised Exhibit 99 with this amendment.

Except as identified above, no other item or disclosures in the Form 8-K have been amended, and all other information in the Form 8-K remains unchanged.

Item 2.02. Results of Operations and Financial Condition.

On February 21 , 201 8 , Whiting Petroleum Corporation issued a press release announcing its financial and operating results for the fourth quarter and year ended Dec ember 3 1 , 201 7 and providing certain guidance for the f irst quarter of 201 8 and full-year 201 8 . A copy of such press release is furnished as Exhibit 99 and is incorporated by reference herein.
