Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On December 1, 2017, Bernard L. Kasriel notified Nucor Corporation (the Company) of his
resignation, effective January 5, 2018, from the Companys Board of Directors (the Board) and from his positions as a member of the Audit Committee, the Compensation and Executive Development Committee and the Governance and
Nominating Committee of the Board. Mr. Kasriel is resigning for personal reasons and not as a result of any disagreement with the Company on any matter relating to the Companys operations, policies or practices. In connection with the
resignation of Mr. Kasriel, the Company will reduce the size of the Board to eight members.
