The Reporting Persons will provide upon request by the Securities and Exchange Commission staff, the issuer, or a security holder of the issuer, full information regarding the number of shares sold at each separate price.
(2)  The securities reported herein are held in the account of Trishield Special Situations Master Fund Ltd. (the "Fund"). Trishield Capital Management LLC may be deemed to be a beneficial owner of such securities by virtue of its role as the investment manager of the Fund. Alan Jeffrey Buick Jr. and Robert L. Harteveldt may each be deemed to be a beneficial owner of such securities by virtue of their role as the managing members of Trishield Capital Management LLC.
