Item 1.01 Entry into a Material Definitive Agreement

On November 1, 2017, Kearny Financial Corp. (“Kearny”) and Clifton Bancorp Inc. (“Clifton”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) pursuant to which Clifton will merge with and into Kearny (the “Merger”). Immediately following the Merger, Clifton Savings Bank will merge with and into Kearny Bank.

Under the terms of the Merger Agreement, each outstanding share of Clifton common stock will be converted into the right to receive 1.191 shares of Kearny common stock.

Kearny and Kearny Bank will increase the size of their respective Board of Directors by three members to appoint Paul M. Aguggia and two additional members of Clifton’s Board of Directors to the Boards of Directors of Kearny and Kearny Bank, effective as of the completion of the proposed Merger.

The Merger Agreement includes customary representations and warranties made by Kearny and Clifton, each with respect to its and its subsidiaries’ businesses. Each party has also agreed to customary covenants, including, among others, covenants relating to the conduct of its business during the interim period between the execution of the Merger Agreement and the consummation of the Merger.

The Merger has been unanimously approved by the Boards of Directors of each of Kearny and Clifton and is expected to close late in the first calendar quarter of 2018 or early in the second calendar quarter of 2018.

The Merger is also subject to approval by each company’s stockholders as well as regulatory approvals and other customary closing conditions. The Merger Agreement provides certain termination rights for both Kearny and Clifton and further provides that a termination fee of $15.0 million will be payable by Clifton to Kearny upon termination of the Merger Agreement under certain circumstances.

The representations, warranties and covenants of each party set forth in the Merger Agreement have been made only for purposes of, and were and are solely for the benefit of the parties to, the Merger Agreement, may be subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures made for the purposes of allocating contractual risk between the parties to the Merger Agreement instead of establishing these matters as facts, and may be subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors. The Merger Agreement should not be read alone, but should instead be read in conjunction with the other information regarding Kearny, Clifton, their respective affiliates or their respective businesses, that will be contained in, or incorporated by reference into, the Registration Statement on Form S-4 that will include a joint proxy statement of Kearny and Clifton and a prospectus of Kearny, as well as in the Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K and other filings that each of Kearny and Clifton make with the Securities and Exchange Commission (“SEC”).

In connection with entering into the Merger Agreement, each of the directors of Kearny and each of the directors of Clifton has entered into a voting agreement (collectively, the “Voting Agreements”). The Voting Agreements generally require that the stockholder party thereto vote all of his or her shares of Kearny common stock or Clifton common stock, as applicable, in favor of the Merger Agreement and the transactions contemplated therein. The Voting Agreements will remain in effect until the earlier of (a) the final adjournment of the stockholder meeting, held by Kearny or Clifton, as applicable, to vote on the approval and adoption of the Merger Agreement and the transactions contemplated therein or (b) the termination of the Merger Agreement.
