Results of Operations and Financial Condition

On September 19, 2017, Bed Bath & Beyond Inc. (the “Company”) issued a press release announcing the Company’s financial results for its fiscal second quarter ended August 26, 2017. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The Company’s September 19, 2017 press release further announced that its Board of Directors has declared a quarterly dividend of $.15 per share, to be paid on January 16, 2018 to shareholders of record as of the close of business on December 15, 2017.
