Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Mr. Sean Skelley, President, Home Services, of Sears Holdings Corporation (the “Company”), will be departing from his position with the Company in order to focus on his other business and personal interests. Mr. Skelley will step down from his role effective immediately and will assist with transitional matters through the end of the month.
