Explanation of Responses:
(1)  Award of restricted stock pursuant to the Company's Long-Term Incentive Program. These time-vested restricted shares vest in four equal annual installments on the first through fourth anniversaries of the Grant Date.
(2)  Award of restricted stock pursuant to the Company's 2017 Long-Term Compensation Plan. As described in Company's July 10, 2017 Current Report on Form 8-K, Company agreed to grant these shares to Mr. Besanko as a recruitment award. The restricted shares vest in three installments - 40% on each of the first and second anniversaries of the Grant Date and 20% on the third anniversary of the Grant Date
(3)  Includes 123,262 unvested shares of restricted stock.
