Item 8.01.	Other Events.

On August 9, 2017, Luna Innovations Incorporated (the “Company”) issued a press release announcing the execution of an Asset Purchase Agreement with MACOM Technology Solutions Holdings, Inc. (the “Buyer”) and the completion of the sale of the assets and operations related to the Company’s high-speed optical receivers business to the Buyer.

A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K, the contents of which are incorporated herein by reference. The information contained in this Current Report on Form 8-K speaks only as the date hereof.
