Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Effective July 31, 2017, Scott W. Bixby, Senior Vice President, General Manager Direct Store Delivery, notified Farmer Bros. Co., a Delaware corporation (the "Company"), of his intent to retire as an officer of the Company as of such date. Mr. Bixby will continue as an employee of the Company through September 30, 2017 under the terms of his existing employment agreement to assist in the transition of his responsibilities.
