Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 2, 2017, Derek Williams presented the Board of Directors of Almost Never Films, Inc., Inc. (the “Company”) with his resignation as Chief Operating Officer and a member of the Board of Directors of the Company. Mr. William’s decision to resign was not due to any disagreement with the Company. On August 2, 2017, the Board of Directors of the Company accepted Mr. Williams’s resignation. Accordingly, Derek Williams ceased to be the Company’s Chief Operating Officer and a director.
