Explanation of Responses:
(1)  This Restricted Stock Unit (RSU) award represents the number of performance based RSUs that converted to time based vesting following the achievement of the performance criteria. Each RSU represents the right to receive one share of Xcerra Corporation common stock. Under the terms of the RSUs, one fourth vest immediately, with the remainder vesting in equal installments over the next three years, on July 31, 2018, July 31, 2019, and July 31, 2020.
(2)  The disposition of common stock described in this filing reflects the amount of shares of common stock withheld for tax withholding purposes.
