(1)  Shares are allocated to the Reporting Persons account in The Employee Stock Ownership Plan of Issuer. The acquisition is exempt pursuant to Rule 16b-3(c).
(2)  These are shares withheld to satisfy a tax withholding on the vesting of restricted stock units (RSUs) granted by the Compensation Committee of the Board of Directors of the Issuer. The Committee approved the share withholding on the RSU grant date, and the shares were withheld pursuant to the administrative procedures of the Committee.
