Section 5 — Corporate Governance and Management

Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 20, 2017, Suzanne T. Mestayer was elected to the Board of Directors (the “ Board ”) of Sanderson Farms, Inc. (the “ Company ”), effective July 20, 2017, to fill a Class B director vacancy with a term expiring at the next annual meeting of shareholders in 2018. There are no understandings or arrangements between Ms. Mestayer and any other person pursuant to which Ms. Mestayer was elected as a director. There are no relationships between Ms. Mestayer and the Company that would require disclosure pursuant to Item 404(a) of Regulation S-K.

The Board expects to appoint Ms. Mestayer to one or more committees of the Board at a later date. The Company will file an amendment to this Current Report on Form 8-K to report any such appointment within four business days after the information is determined or becomes available.

As a non-employee director, Ms. Mestayer will participate in the non-employee director compensation arrangements described in the Company’s definitive proxy statement filed with the Securities and Exchange Commission (the “ SEC ”) on January 12, 2017.
