Explanation of Responses:
(1)	On June 30, 2017, the Company and Mr. Hymers entered into a convertible promissory note whereby Mr. Hymers lent the Company $242,169, due and payable on June 30, 2018. The note has a conversion feature allowing Mr. Hymers to convert some or all of the outstanding amounts of principal and interest due under the note into common stock of the Company calculated at a price based on lowest reported sale price of the common stock for the 15 trading days immediately prior to the Voluntary Conversion Date.
