Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 11, 2017, HealthStream, Inc. (the "Company") announced that Thomas Schultz will resign from his position as Senior Vice President of Sales of the Company. Mr. Schultz provided notice of such resignation on July 10, 2017, and such resignation will be effective as of July 25, 2017. Mr. Schultz’s resignation is not the result of any disagreement with management, the Company or its operations, policies or practices. A copy of the press release making this announcement is attached as Exhibit 99.1 and incorporated by reference herein.





Item 8.01 Other Events.

On July 11, 2017, the Company announced that Jeffrey Cunningham will join the Company as its Senior Vice President and Chief Technology Officer. Also effective as of July 11, 2017, Jeffrey Doster—the Company’s current Chief Technology Officer and Senior Vice President—will become the Company’s Chief Information Officer and Senior Vice President, a newly created position.
