Item 8.01

Other Events.

On July 5, 2017, Village Bank, the wholly-owned subsidiary of Village Bank and Trust Financial Corp., will file regulatory applications requesting approval to open a new branch office in Williamsburg, Virginia. The new location will initially open as a loan production office in July 2017 and, if approved by regulators, will thereafter become a full-service branch. The proposed new branch would be Village Bank’s first location in the Williamsburg, Virginia market and tenth full-service branch.
